Terms and Conditions of Sale
(Alpha Timber Ltd)
General
These Terms and Conditions govern all contracts entered into by Alpha Timber Ltd (“the Company”) for the supply or sale of goods and services. Any order placed with the Company shall be deemed to constitute an agreement to be bound by these Terms and Conditions.
No variation or amendment shall be valid unless agreed in writing by the Company.
1. Scope of Work
Unless otherwise expressly agreed in writing, these Terms and Conditions apply to all aspects of the services provided by Alpha Timber Ltd. This includes, but is not limited to, the supply and sale of goods, site surveys, preparatory groundwork, base construction, erection, and any other ancillary services or work carried out by the Company or its authorised representatives on the customer's property.
2. Access to the Concrete Base or Place of Installation
The Company reserves the right to return to its works and apply a charge if suitable access is not available.
• The customer must provide access for our delivery lorry to be within 1.5 metres of the concrete base or place of erection, enabling unloading by two persons.
• A 1-metre clearance is required around the base and boundary.
• The Company must be notified at least three weeks prior to delivery if access is restricted.
If such access is not possible, the Company will provide written notice of any additional expense. The customer must then either:
a) provide additional personnel or transport to ensure access, or
b) agree to pay additional charges for Alpha Timber to provide further assistance. Access to the site must be safe and unrestricted at all times. Only Alpha Timber personnel are permitted on site during installation.
Further guidance is provided in the “What to Expect” letter supplied upon receipt of deposit.
The Company accepts no responsibility for damage to the customer’s land or property during access or erection. This includes bases, brickwork, vehicular access, and any transit across land, paddocks, fields, or gardens.
Nails and Timber Materials
Alpha Timber
accepts no responsibility for nails or timber materials remaining on site after completion. Disposal of these materials is the sole responsibility of the landowner.
The Company will not be held liable for any injury to animals during or after works.
The landowner must ensure the site is safe for animals once works are completed.
The customer assumes full liability for any harm to animals arising from the works. The customer agrees to indemnify and hold harmless Alpha Timber, its employees, directors, and agents from all claims, damages, liabilities, costs, and expenses arising from or related to nails, timber materials, or injury to animals as described herein.
Entire Agreement
This document constitutes the entire agreement between Alpha Timber and the customer, superseding all prior oral or written representations.
3. Description of Goods
The Company’s brochures and drawings are intended as a guide only and do not form part of any contract.
All goods are supplied subject to the reasonable availability of suitable materials and labour. Some timber sizes are nominal and subject to normal variation. As timber is a natural product, inspected at manufacture, the Company cannot accept liability for subsequent shrinkage, warping, cracking, or movement after erection.
The Company reserves the right to alter specifications without prior notice. In the event of error, responsibility will only be accepted if both the customer and the Company have confirmed requirements in writing.
4. Prices
All prices are subject to VAT at the prevailing rate.
Should there be an increase in the cost of overheads, labour, goods, materials, or transport after the date of quotation, the Company reserves the right to amend prices accordingly.
Once the deposit is received, the quoted price remains fixed for three months. A 50% non-refundable deposit is required upon placing the order, with the balance payable on the day of erection.
5. Dispatch and Delivery
Delivery times are estimates only. The Company shall not be liable for any loss, damage, or delay in delivery.
No delay or part-delivery failure shall entitle the customer to repudiate the contract. The Company will not deliver buildings or machinery through or over domestic buildings or fences.
Electricity must be available on site to enable bolting down of buildings.
A small amount of surplus material may remain on site for disposal by the customer.
6. Bases and Erection
All bases must be level and constructed in accordance with the Company’s brick or sleeper plan.
Brick or sleeper work must be adequately fixed to the ground. Should the base fail to meet required standards, the Company reserves the right to refuse erection and charge an additional 25% to return at a later date.
Any loss, damage, or deterioration to the building or its components occurring after delivery—while awaiting adequate completion of the base—shall be the responsibility of the customer.
7. Complaints
All complaints must be reported to the Company within seven (7) days of delivery or completion.
• Complaints must be made prior to livestock being admitted.
• Complaints regarding garages or workshops must be made before internal works commence.
The Company will not be held responsible for damage caused by extreme weather, fire, theft, or Acts of God.
8. Insurance
Customers must insure all materials and buildings delivered to site. Adequate cover must be maintained against fire, theft, extreme weather conditions, Acts of God, and other risks of loss or damage.
9. Payment Terms
All goods remain the property of the Company until paid for in full.
• A 50% non-refundable deposit is required upon order by credit/debit card, cheque, or bank transfer.
• The final balance must be paid on the day of completion of installation, either by:
o cheque to the erectors, o debit card to the office before the erectors leave site, or o bank transfer received by noon on the final day of installation.
For orders exceeding £10,000, payment terms are as follows:
• 50% non-refundable deposit on order
• 25% one day prior to delivery
• 25% on completion of installation
If the customer wishes to cancel the order, written notice must be provided ten (10) working days prior to delivery. Deposits are non-refundable once work has commenced, materials have been ordered, or the production schedule has been affected. An administration fee may apply to cancellations made before work begins.
Late Payment Clause
Failure to make payment in full on the day of completion will incur a £25 administration fee, plus interest at 8% per annum above the Bank of England base rate, calculated daily from the due date until payment is received in full.
The Company reserves the right to dismantle and remove any buildings not paid for in full. The customer must grant access for this purpose. Written notice will be provided prior to any such action.
By paying a deposit, the customer confirms that they have read, understood, and accepted these Terms and Conditions in full.
10. Governing Law
This contract shall be construed and operated in accordance with English law. Any dispute arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the English courts.
Alpha Timber Ltd accepts no liability for errors, omissions, or inaccuracies arising from use of the information contained herein.
11. Warranty and Service Plan
Alpha Timber Ltd
offers a 10-Year Warranty on all timber buildings, subject to enrolment in the 10Year Warranty Service Plan.
• The Warranty Service Plan requires an annual inspection of the building and associated works carried out by Alpha Timber Ltd or an authorised representative.
• The annual inspection ensures that the structure remains in sound condition and that any required maintenance or remedial work is identified and addressed promptly.
• Failure to complete annual inspections may invalidate the warranty.
• The warranty covers defects in materials and workmanship under normal use but does not include damage arising from neglect, misuse, alterations, or external factors such as weather, fire, or accidental damage.

11. Inspection and Dispute Resolution
11.1 Inspection Obligation
The Client shall ensure their availability, or that of a duly authorised representative, for final inspection of the Works upon the Agreed Completion Date. Failure to comply with this provision without providing 24 hours’ prior written notice to Alpha Timber Ltd shall forfeit the Client’s right to lodge any subsequent claims pertaining to patent defects.
11.2 Natural Material Characteristics
The Parties expressly acknowledge that timber is a natural material exhibiting inherent and unavoidable variations in grain patterns, colouration, surface texture, and the presence of knots or other botanical features. Such characteristics constitute intrinsic qualities of the material and shall not be deemed defects unless they materially contravene:
(a) Structural performance specifications outlined in Schedule [X]; or
(b) Agreed tolerances for aesthetic uniformity as defined in the Project Particulars.
11.3 Defect Notification Protocol
Any claim alleging defective workmanship, non-conformity of materials, or failure to meet completion standards must be submitted to Alpha Timber Ltd in writing by way of registered post or electronic communication within five (5) calendar days following the Agreed Completion Date. Any claim submitted beyond this stipulated period shall be deemed irrevocably waived and extinguished.
11.4 Remediation Procedure
Alpha Timber Ltd shall retain exclusive authority to:
(i) Conduct such inspections and evaluations as it deems necessary to verify the merits of any timely notified claim;
(ii) Determine, at its sole discretion, whether remediation shall take the form of repair, replacement, or partial/full refund;
(iii) Reject claims arising from Client-induced damage, improper maintenance, or natural weathering processes.
